Terms and Conditions
| 1 | Applicable Conditions and Description |

| 1.1 | These Conditions shall apply to all contracts for the provision of goods or services by SEO Philippines to you, the “customer”, to the exclusion of all other terms and conditions including any terms or conditions which the customer may purport to apply under any purchase order, confirmation of order or similar document. |
| 1.2 | All orders for services shall be deemed to be an offer by the customer to purchase goods or services pursuant to these Conditions. Orders may be placed by writing, via the SEO Philippines website, email or telephone. |
| 1.3 | Acceptance by SEO Philippines in the form of an order confirmation which may be oral or written shall be deemed conclusive evidence of the customer’s acceptance of these Conditions. |
| 1.4 | While SEO Philippines shall endeavour to ensure that goods or services shall be supplied in accordance with any description contained in any specification provided by SEO Philippines, all illustrations, leaflets, drawings, catalogues or other material issued by SEO Philippines and particulars of output and performance contained in any of the terms or in any quotation, are approximate only and not binding on SEO Philippines. SEO Philippines may from time to time make changes in the specification of the goods or services which are required to comply with any applicable safety or statutory requirements or which do not materially affect the quality or fitness for purpose of the goods or services. |
| 1.5 | Any typographical, clerical or other error or omission in any sales literature (which shall include all specification sheets, plans and drawings), this website, quotation, price list, acceptance of offer, invoice or other document or information issued by SEO Philippines shall be subject to correction without any liability on the part of SEO Philippines. |
| 1.6 | The customer shall be responsible to SEO Philippines for ensuring the accuracy of the terms of any order and any applicable specification or information as required by SEO Philippines submitted by the customer and for giving SEO Philippines any necessary information relating to the goods or services within a sufficient time to enable SEO Philippines to perform the contract in accordance with its terms. If insufficient information, or insufficient specification is provided to SEO Philippines so as to prevent SEO Philippines from fulfilling its obligations under this contract, then SEO Philippines may unilaterally terminate the contract. |
| 2 | Price |
| 2.1 | The price of the goods or services shall be SEO Philippines’s quoted price or where no price has been quoted (or a quoted price is no longer valid) the price listed in SEO Philippines’s published price list current at the date of acceptance of the order. All prices quoted are valid for 30 days only or until earlier acceptance by the customer, after which time they may be altered by SEO Philippines without giving notice to the customer. |
| 3 | Payment |
| 3.1 | Payment shall be due for the agreed billing period in advance by form of cash, bank transfer, Paypal or any other means agreed by SEO Philippines and the Customer. |
| 3.2 | If payment is not received by the beginning of a billing period, SEO Philippines reserves the right to cancel this agreement without notice. |
| 4 | Customer Cancellation |
| 4.1 | Customers may cancel any order placed (whether or not confirmed) at any time within 7 days beginning with the day, after the day on which SEO Philippines issues an invoice to the customer for payment. To cancel any order, the Customer must inform SEO Philippines of such cancellation in writing. Any statutory consumer rights are unaffected by these Conditions. |
| 4.2 | No order which has been accepted by SEO Philippines may be cancelled by the customer except with the agreement in writing of SEO Philippines and on such terms that the customer will indemnify SEO Philippines in full and against all loss (including loss of profit), costs, damage, charges and expenses incurred by SEO Philippines as a result of such cancellation. |
| 5 | Risk and Property |
| 5.1 | The customer represents to SEO Philippines and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to SEO Philippines for inclusion in web pages are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend SEO Philippines and its subcontractors from any claim or suit arising from the use of such elements furnished by the client. |
| 5.2 | SEO Philippines retains ownership of any domain names purchased to be used in addition to those already owned by the customer. |
| 5.3 | The customer is responsible for the accuracy of any content published online by SEO Philippines which is promoting the customers services or good. |
| 6 | Warranties and Liabilities |
| 6.1 | Subject to the conditions set out herewith, SEO Philippines warrants that the goods or services will correspond with their description at the time of delivery. |
| 6.2 | SEO Philippines shall be under no liability under the above warranty if the total price for the goods or services has not been paid by the due date for payment. |
| 6.3 | Subject as expressly provided in these Conditions, and except where the goods are sold to a person dealing as a customer, all warranties, conditions or other terms implied by statute or common law are excluded to the fullest extent permitted by law. |
| 6.4 | Where any valid claim in respect of any of the goods or services which is based on any defect in the quality or condition or their failure to meet specification is notified to SEO Philippines in accordance with these Conditions, SEO Philippines shall be entitled to replace the goods or services (or the part in question) free of charge or, at SEO Philippines’s sole discretion, refund to the customer the price of the goods (or a proportionate part of the price), but SEO Philippines shall have no further liability to the customer. |
